Overview

These Terms of Service govern your access to and use of Zixel 3D CAD, which is provided by ZIXEL TECHNOLOGIES PTE. LTD. together with its affiliates (collectively, "Zixel," "we," "us," or "our"). For the English-language website and Services, ZIXEL TECHNOLOGIES PTE. LTD. is generally the primary contracting entity. Shanghai Ziqian Technology Co., Ltd. and other Zixel affiliates may support product development, operations, service delivery, customer support, or compliance functions depending on the service, region, and customer relationship. In this Agreement, the "Services" include the website available at www.zixel3d.com/en together with related web applications, desktop or mobile applications, hosted collaboration tools, support channels, and any other products or features that refer to this Agreement. By downloading, installing, registering for, signing in to, or otherwise using the Services, you agree to these Terms of Service and our Privacy Policy. If you use the Services on behalf of a company, school, or other organization, you represent that you have authority to bind that organization to this Agreement. Please read this Agreement carefully. It explains important rights and restrictions, including provisions on acceptable use, service availability, intellectual property, limitation of liability, and dispute resolution. If you are under 18, you may use the Services only with the involvement and consent of your parent or legal guardian.

Important Notice Regarding Free 3D CAD and the Public Asset Library

IMPORTANT NOTICE: If you use the free 3D CAD Services to create, edit, or save a model, the relevant Model Assets will be public by default and added to ZIXEL Public Projects. You retain all ownership and intellectual property rights that you lawfully hold in the Model Assets. At the same time, you grant Shanghai Ziqian Technology Co., Ltd., as well as users and members of the public who access the Public Asset Library, a royalty-free, non-commercial license. Members of the public may view, copy, download, save, modify, or further edit those Model Assets, but may not use the Model Assets or any modified, adapted, or derivative versions thereof for any direct or indirect commercial purpose. Both the free 3D CAD Services and Model Assets obtained through the Public Asset Library are limited to non-commercial use. The free 3D CAD Services are not suitable for confidential information, trade secrets, unpublished patent applications, or third-party content that you are not authorized to disclose and license. If you need to create private models or use models for commercial purposes, you must select a paid service that permits the intended use before creating or using those models. Before using the free 3D CAD Services, you must separately acknowledge the matters above and the Public Asset Library rules in Section VI, "User Content," of this Agreement. If you do not agree, you must not use the model-creation, editing, or saving features of the free 3D CAD Services.

I. Individual Users, Authorized Users, and Customers

When you use the Services, you may do so in one of the roles described below.

Individual User. A natural person who registers for and uses the Services in a personal capacity.
Authorized User. A natural person who is invited or authorized by a Customer to use the Services within that Customer's workspace, team, or organization. Authorized Users may include team creators, administrators, and ordinary members.
Customer. A company, institution, or other organization that obtains the Services for organizational use and may assign administrators or invite Authorized Users.

Individual Users control their own account activity, subject to applicable law, this Agreement, and any service-specific rules. If you are an Authorized User, the Customer that granted you access controls your user status, permissions, workspace settings, and certain data-management decisions. The Customer may instruct us to provision, limit, suspend, transfer, or remove your access to organizational content. You agree to follow both this Agreement and any lawful workplace rules or internal policies that apply to your use of the Services as an Authorized User. We process organizational data in accordance with the Customer's instructions where required by the applicable service model, and we are not responsible for the Customer's internal governance decisions. If you register for or administer the Services on behalf of a Customer, you represent that you are authorized to accept this Agreement for that Customer. Where a separate written agreement between Zixel and the Customer conflicts with this Agreement, the separate written agreement will control for that Customer relationship.

II. Accounts

Registration and Access

You may create an account through the registration flow provided in the Services or through another login method that we authorize. You must provide accurate, complete, and current information and keep that information updated. You may also sign in by linking or using an approved third-party login or a Customer-issued account, if that option is available to you. Your use of the Services through any approved login method remains subject to this Agreement. Customers may appoint one or more administrators to manage workspace structure, user access, member information, and collaboration settings. Customers are responsible for obtaining any permissions or notices required to provide organizational user information to us. Some portions of the Services may be available without a registered account. If you use those portions, this Agreement still applies.

Account Security

Your Zixel account is personal to you unless we expressly authorize another use model in writing. You may not sell, rent, lease, lend, share, transfer, or otherwise make your account available to any other person. You are responsible for protecting your username, password, verification credentials, devices, and any other login factors used to access the Services. If you believe your account has been compromised or used without authorization, you must notify us promptly. We may offer account recovery procedures, but those procedures are designed only to verify whether supplied information matches our records. They may not conclusively prove account ownership. You are responsible for activity that occurs through your account unless applicable law requires otherwise. Please use caution when evaluating external messages, promotional content, or other materials that may attempt to misuse your credentials or personal information. To protect account resources, we may reclaim an account that remains inactive for more than 12 consecutive months after registration or other prolonged periods of non-use, after providing notice where required.

Suspension and Deletion

We may suspend, restrict, or freeze an account or certain features if we reasonably believe that:

you have violated this Agreement, service rules, or applicable law;
suspension is required by a court, regulator, law-enforcement agency, or other competent authority;
the account presents fraud, security, abuse, impersonation, brand-misuse, or other operational risk;
we receive a supported complaint and you do not provide a timely, credible response; or
similar circumstances create a material risk to us, other users, or the public.

If you are an Individual User, you may request account deletion through the account or support channels made available in the applicable service version. If you are an Authorized User, your organizational account may also be deleted, deactivated, or removed by the Customer or its administrator. Account deletion may be irreversible. We may retain or continue processing information where required by law, for security and dispute-resolution purposes, or where the Customer's lawful instructions govern organizational data.

Treatment of Public Model Assets Upon Account Deletion

You understand and agree that deleting your account does not revoke or terminate any disclosure or license of Model Assets, or any non-commercial use of Model Assets by third parties, that occurred before deletion. Nor does deletion require us or any third party to delete Model Assets or copies that were lawfully obtained before deletion. You continue to retain all ownership and intellectual property rights that you lawfully hold in those Model Assets. After account deletion, we may disassociate or de-identify Model Assets that were made public or added to the Public Asset Library and may continue to store, display, and make them available for non-commercial use in accordance with this Agreement, unless otherwise required by mandatory law.

III. Your Right to Use the Services

Subject to this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your internal business or personal use, as applicable. You may use the Services only in accordance with the documentation, plan limits, technical restrictions, and feature boundaries that apply to your account or subscription tier.

Non-Commercial-Use Restrictions for the Free Version

The free version may be used solely for personal learning, research, teaching, communication, evaluation, testing, hobbyist creation, or other non-commercial purposes. You must not use the free version, directly or indirectly, for any commercial purpose, including conducting business for a company or other organization, performing paid or employment-related projects, providing design or technical services to clients, designing or manufacturing products intended for sale, generating content for marketing or sales, or otherwise obtaining any direct or indirect economic benefit. Model Assets and derivative content created, edited, saved, copied, downloaded, modified, or further edited using the free version are likewise limited to non-commercial use. Upgrading to a paid version does not cancel the public availability rules or public non-commercial license already applicable to Model Assets created under the free version. After the rights holder upgrades to a paid version that permits commercial use, the rights holder may use its Model Assets in accordance with the then-applicable paid plan, order, and product rules. Any other user who wishes to use a Model Asset from the Public Asset Library for a commercial purpose must first obtain separate written authorization from the rights holder and must use a paid version that permits commercial use. We may update, improve, suspend, or discontinue part of the Services from time to time. We may also impose reasonable usage limits, security requirements, or eligibility rules. If you provide feedback, suggestions, or ideas about the Services, you grant us a royalty-free right to use that feedback to operate, improve, and develop our products and services without any obligation to you.

IV. Acceptable Use

You must use the Services lawfully, responsibly, and in a manner that does not interfere with other users, the Services, or any third party. You must not, and must not help others to:

upload, publish, transmit, or store content that is unlawful, infringing, defamatory, fraudulent, abusive, discriminatory, or otherwise harmful;
impersonate any person or organization, misrepresent your affiliation, or use another person's identity or credentials without authorization;
reverse engineer, decompile, disassemble, attempt to discover source code, or bypass technical protections or usage controls, except where applicable law expressly permits it;
scrape, crawl, benchmark, mirror, or systematically extract data from the Services without our written permission;
introduce malware, harmful code, denial-of-service activity, or any other mechanism that could damage, disable, overload, or impair the Services;
misuse our name, trademarks, domain names, or brand assets in a way that suggests endorsement or affiliation without permission; or
use the Services in any way that violates export controls, sanctions, privacy laws, or other applicable laws and regulations.

We may investigate suspected violations and take action, including removing content, disabling access, preserving evidence, notifying affected parties, or reporting matters to competent authorities when legally required or appropriate.

V. Third-Party Products and Services

The Services may interoperate with, contain links to, or make available products, content, or services provided by third parties. Those third-party offerings are governed by the third party's own terms, privacy notices, and operating practices. We do not control and are not responsible for third-party products or services, even if they are referenced from or accessible through the Services. Your dealings with those third parties are solely between you and the relevant third party, except to the extent applicable law requires otherwise.

VI. User Content

"User Content" means files, designs, text, comments, messages, images, data, and other materials that you upload, submit, store, publish, or otherwise make available through the Services. You retain ownership of your User Content, subject to the rights you grant in this Agreement. To operate the Services, you grant Zixel and its affiliates a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, adapt, back up, display, and otherwise process your User Content as necessary to provide, secure, support, maintain, and improve the Services and to comply with law. You are responsible for ensuring that you have all rights, permissions, and legal bases needed to upload and use User Content in the Services. You must not upload or share content that infringes intellectual property, privacy, publicity, trade secret, confidentiality, or other rights of any person or organization. We may review, block, remove, or disable access to User Content where we reasonably believe it violates this Agreement, applicable law, or the rights of others, or where doing so is necessary to protect the Services or respond to a legal request. If you believe content on the Services infringes your rights or violates applicable rules, you may contact us at yi.sun@zixel3d.com with sufficient detail for us to evaluate the notice. We may request supporting information before acting on a complaint or counter-notice.

Free 3D CAD Model Assets and the Public Asset Library

Definitions

A "Free 3D CAD User" means an Individual User or Authorized User who uses the model-creation, editing, or saving features of the free version of ZIXEL 3D CAD. Whether a user who participates only in a paid-service trial, an educational program, or another plan that we expressly identify as permitting private models is a Free 3D CAD User will be determined by the applicable plan page, order terms, or separate agreement between us and the Customer. "Model Assets" means three-dimensional models created, generated, edited, saved, or published through the Services, together with their components, assemblies, parts, sketches, parameters, feature trees, drawings, thumbnails, renderings, names, tags, descriptions, version histories, exportable files, and other digital content directly associated with those models. Model Assets do not include underlying materials, patents, trademarks, trade secrets, or other pre-existing rights that a user lawfully owned before using the Services and can substantiate. The "Public Asset Library" means a public resource library operated by us through which users of the Services or members of the public may browse, search, copy, download, edit, reuse, or otherwise use Model Assets. Content in the Public Asset Library is public and non-confidential. These special provisions supplement the general User Content rules above with respect to Model Assets created through the free 3D CAD Services and the Public Asset Library. We do not acquire ownership of a Model Asset merely because it is added to the Public Asset Library. You continue to retain all ownership and intellectual property rights that you lawfully hold in that Model Asset.

Default Public Status of Free Model Assets

You understand and agree that the free 3D CAD Services are intended solely for creating public, non-confidential Model Assets. All Model Assets created, generated, edited, or saved by a Free 3D CAD User through the free 3D CAD Services become public at the time they are created, generated, edited, or saved. We may automatically add those Model Assets to the Public Asset Library without obtaining further consent from you or paying you any fee. Any user or member of the public who can access the Public Asset Library or a related public page may view, search, copy, download, save, modify, adapt, combine, and create derivative content from those Model Assets, but only for personal learning, research, communication, evaluation, testing, or other non-commercial purposes. No user may use a free Model Asset—or any copy, modification, adaptation, combination, or other derivative thereof—for any direct or indirect commercial purpose. We do not guarantee that third parties will retain the model name, author attribution, version information, or integrity of a Model Asset, and we are not responsible for losses caused by a third party's use of a public Model Asset in violation of this Agreement, except where mandatory law provides otherwise.

Ownership of Free Model Assets and License to Zixel

You retain all ownership and intellectual property rights that you lawfully hold in Model Assets that you create, edit, or save through the free 3D CAD Services. Except for the licenses expressly granted in this Agreement, this Agreement does not transfer ownership of, or intellectual property rights in, those Model Assets to us or to users of the Public Asset Library. To enable us to provide the free 3D CAD Services and operate the Public Asset Library, you grant us and our affiliates a worldwide, royalty-free, non-exclusive, transferable, and sublicensable license, for as long as you retain the Model Assets in the free Services or the Public Asset Library and for a reasonable period thereafter as necessary to maintain previously generated backups, access records, and lawful copies, to:

store, host, back up, reproduce, convert, and maintain the Model Assets;
display and make the Model Assets publicly available through the Public Asset Library and related pages, and provide search, preview, and download functionality;
perform technical processing of the Model Assets as necessary for compatibility, preview, search, recommendation, content safety, infringement response, and service improvement; and
provide non-commercial licenses to users of the Public Asset Library as set out here.

Except for uses necessary to provide, operate, maintain, and promote the free 3D CAD Services and the Public Asset Library themselves, we will not sell free Model Assets or license them to third parties for commercial manufacturing, commercial sale, or other commercial exploitation of the Model Assets themselves. Any third-party materials or pre-existing rights contained in a Model Asset remain the property of their respective owners. You are responsible for ensuring that you are authorized to make those materials public and grant the licenses described in this Agreement.

License to Public Asset Library Users

To the extent that a Model Asset may lawfully be licensed by its rights holder, the rights holder grants each user of, and member of the public who accesses, the Public Asset Library a worldwide, royalty-free, non-exclusive license to view, copy, download, save, modify, adapt, combine, and create derivative content from that Model Asset for personal learning, research, communication, evaluation, testing, or other non-commercial purposes. Members of the public may modify or further edit copied or downloaded models, but the edited models and all other derivative content remain subject to the non-commercial-use restrictions in this Section. "Commercial Purpose" includes, without limitation: selling, renting, or providing a Model Asset or derivative content for a fee; using it to manufacture, produce, sell, or promote goods; using it in paid services, client projects, employment-related work, or other profit-making activities; incorporating it into a paid product, commercial database, or commercial training dataset; or otherwise using it to obtain a direct or indirect economic benefit for any company, organization, or individual. Neither Zixel, a Free 3D CAD User, nor a Public Asset Library user may engage in any such use without separate written authorization from the Model Asset's rights holder. Public Asset Library users must not falsely claim to be the original creator of a Model Asset or an official Zixel partner, remove legally required rights notices from a model page, sublicense a Model Asset or otherwise expand another person's usage rights, or use a Model Asset for unlawful activities, to infringe the lawful rights of a third party, or in a high-risk use prohibited by law. Model Assets in the Public Asset Library are provided "as is" and "as available." We make no warranty as to their accuracy, completeness, merchantability, fitness for a particular purpose, non-infringement, security, or manufacturability.

Paid, Trial, Educational, and Enterprise Content

The public or private status, ownership, and permitted uses of User Content in paid services, trial services, educational programs, and enterprise services are governed by the applicable plan page, order, Customer agreement, and in-product disclosures. Unless expressly agreed otherwise, the user or Customer retains its rights in private content, and we process that content only as necessary to provide, maintain, protect, and improve the Services, respond to support requests, comply with legal obligations, and as described in the Privacy Policy. Before a user voluntarily publishes a paid or private model to the Public Asset Library, the user must separately confirm that the model will become public and will be available to members of the public under the license rules displayed on the publishing page. Voluntary publication does not transfer ownership of, or intellectual property rights in, the model to us. Unless the publishing page expressly states otherwise, members of the public may use the model only for the non-commercial purposes described in this Section.

Confidential Information, Third-Party Content, and Content Moderation

A Free 3D CAD User must not use the free 3D CAD Services to create, upload, edit, or save any trade secret, confidential information, unpublished patent application, export-controlled technical material, sensitive personal information, or third-party content that the user is not authorized to disclose and license. You are legally responsible for any public disclosure, rights dispute, or third-party claim resulting from your violation of this paragraph and, to the extent permitted by law, must indemnify us against any resulting loss. We have the right, but not the obligation, to review Model Assets in the Public Asset Library. If content is suspected of being unlawful, infringing, in violation of this Agreement, unsafe, or otherwise unsuitable for public display, we may restrict access, disable downloads, remove or delete the content, preserve evidence, or suspend or terminate the relevant account. Removing, deleting, or ceasing to display a Model Asset does not affect prior downloads, reproductions, licenses, or non-commercial rights lawfully obtained by third parties, and does not necessarily require a third party to delete a copy already obtained. Any third party that retains or uses such a copy remains subject to the non-commercial-use restrictions in this Agreement.

Existing Models

For models created or saved by Free 3D CAD Users before August 6, 2026, we will provide notice of this update through an in-product message, pop-up notice, email, or other reasonable means. An existing model will be added to the Public Asset Library and become subject to the public availability and non-commercial licensing rules in this Section only after the user separately acknowledges the revised Agreement. If the user does not provide that acknowledgement, we may restrict the user's continued use of the model-creation, editing, or saving features of the free 3D CAD Services, but we will not treat the user's silence as consent to publish or license an existing model. We may provide a reasonable period for the user to delete models that the user does not wish to make public or to upgrade to a paid service that permits private models and commercial use.

VII. Privacy and Security

Our collection and use of personal information is described in the Zixel Privacy Policy. By using the Services, you acknowledge that you have read and understood that policy. If you are an Authorized User, some privacy and data-handling decisions may be made by the Customer that provides your access. You should direct organization-specific privacy questions to that Customer or its administrator where appropriate. We use reasonable administrative, technical, and organizational measures designed to protect the Services and data we process. However, no online service can be guaranteed to be completely secure or uninterrupted at all times.

VIII. Intellectual Property

The Services, including the software, interface design, trademarks, logos, service marks, documentation, audiovisual content, and other materials made available by us (excluding User Content), are owned by Zixel, its affiliates, or its licensors and are protected by intellectual property and other laws. Except for the limited rights expressly granted in this Agreement, no rights are granted to you by implication, estoppel, or otherwise. You may not use our intellectual property except as permitted by this Agreement or with our prior written permission.

IX. Suspension, Breach, and Compensation

If you violate this Agreement, any service-specific rules, or applicable law, we may take appropriate action without prior notice where legally permitted. That action may include warnings, content removal, feature restrictions, suspension, account closure, or other remedial steps. We may preserve relevant records and cooperate with law-enforcement agencies, regulators, courts, or other competent authorities in connection with suspected unlawful conduct. If your conduct causes losses, claims, complaints, investigations, penalties, or other liabilities for us, our affiliates, partners, or other users, you agree to indemnify and hold the affected parties harmless to the extent permitted by law, including for reasonable legal and professional fees.

X. Limited Warranty

The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that:

the Services will meet all of your requirements;
the Services will be uninterrupted, timely, secure, or error-free;
all defects will be corrected; or
the Services will be compatible with third-party systems, networks, hardware, software, or data not provided by us.

We may change, suspend, or withdraw features at any time for operational, legal, security, or business reasons. The Services may also be affected by force majeure, cyber incidents, telecommunications failures, power interruptions, third-party outages, governmental actions, and other circumstances outside our reasonable control. Where you use the Services as an Authorized User, the Customer remains responsible for its own internal policies, approvals, and organizational management decisions relating to your use of the Services.

XI. Limitation of Liability

To the fullest extent permitted by law, Zixel and its affiliates will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, lost business, lost goodwill, lost opportunities, data loss, or business interruption, even if we were advised that such damages might occur. To the fullest extent permitted by law, our total aggregate liability arising out of or relating to this Agreement or the Services will not exceed the fees you paid to us for the Services during the month in which the relevant claim arose. We are also not liable for losses caused by your misuse of the Services, inaccurate account information, failure to safeguard credentials, use of third-party products or services, or disputes between you and any third party.

XII. Fees

Your mobile carrier, internet provider, or other third parties may charge data, messaging, roaming, or communication fees in connection with your use of the Services. You are solely responsible for those charges. If we offer a free trial, beta access, promotional credit, or other no-charge service, that does not waive our right to charge fees for the Services in the future. We may adjust pricing, packaging, billing terms, or charging methods from time to time and will provide notice as required by law or the applicable commercial arrangement.

XIII. Miscellaneous

This Agreement includes any policies, rules, notices, and service-specific terms that we publish for the Services. Those materials form part of this Agreement. We may update this Agreement from time to time to reflect legal, technical, operational, or product changes. The updated version will become part of this Agreement when it takes effect. If you do not agree to the revised Agreement, you must stop using the Services. Your continued use of the Services after the effective date of the revision means you accept the revised terms. This Agreement is governed by the laws of the Republic of Singapore. If any dispute arising from this Agreement cannot be resolved through good-faith consultation, you agree to submit the dispute to the competent people's court at the place where this Agreement is executed (Pudong New Area, Shanghai), unless applicable law requires otherwise. You may not assign your rights or obligations under this Agreement without our prior written consent. We may transfer our rights or obligations under this Agreement as part of a merger, restructuring, affiliate transaction, or other business reorganization, subject to applicable law. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of that provision. This Agreement may be translated into multiple languages for convenience. If there is any inconsistency between language versions, the simplified Chinese version will prevail. Headings are included for convenience only and do not affect interpretation.
