Terms of Service

Overview

These Terms of Service govern your access to and use of Zixel 3D CAD, which is provided by ZIXEL TECHNOLOGIES PTE. LTD. together with its affiliates (collectively, "Zixel," "we," "us," or "our"). For the English-language website and Services, ZIXEL TECHNOLOGIES PTE. LTD. is generally the primary contracting entity. Shanghai Ziqian Technology Co., Ltd. and other Zixel affiliates may support product development, operations, service delivery, customer support, or compliance functions depending on the service, region, and customer relationship. In this Agreement, the "Services" include the website available at www.zixel3d.com/en together with related web applications, desktop or mobile applications, hosted collaboration tools, support channels, and any other products or features that refer to this Agreement. By downloading, installing, registering for, signing in to, or otherwise using the Services, you agree to these Terms of Service and our Privacy Policy. If you use the Services on behalf of a company, school, or other organization, you represent that you have authority to bind that organization to this Agreement. Please read this Agreement carefully. It explains important rights and restrictions, including provisions on acceptable use, service availability, intellectual property, limitation of liability, and dispute resolution. If you are under 18, you may use the Services only with the involvement and consent of your parent or legal guardian.

I. Individual Users, Authorized Users, and Customers
When you use the Services, you may do so in one of the roles described below.
  1. Individual User. A natural person who registers for and uses the Services in a personal capacity.
  2. Authorized User. A natural person who is invited or authorized by a Customer to use the Services within that Customer's workspace, team, or organization. Authorized Users may include team creators, administrators, and ordinary members.
  3. Customer. A company, institution, or other organization that obtains the Services for organizational use and may assign administrators or invite Authorized Users.
Individual Users control their own account activity, subject to applicable law, this Agreement, and any service-specific rules. If you are an Authorized User, the Customer that granted you access controls your user status, permissions, workspace settings, and certain data-management decisions. The Customer may instruct us to provision, limit, suspend, transfer, or remove your access to organizational content. You agree to follow both this Agreement and any lawful workplace rules or internal policies that apply to your use of the Services as an Authorized User. We process organizational data in accordance with the Customer's instructions where required by the applicable service model, and we are not responsible for the Customer's internal governance decisions. If you register for or administer the Services on behalf of a Customer, you represent that you are authorized to accept this Agreement for that Customer. Where a separate written agreement between Zixel and the Customer conflicts with this Agreement, the separate written agreement will control for that Customer relationship.
II. Accounts

Registration and Access

You may create an account through the registration flow provided in the Services or through another login method that we authorize. You must provide accurate, complete, and current information and keep that information updated. You may also sign in by linking or using an approved third-party login or a Customer-issued account, if that option is available to you. Your use of the Services through any approved login method remains subject to this Agreement. Customers may appoint one or more administrators to manage workspace structure, user access, member information, and collaboration settings. Customers are responsible for obtaining any permissions or notices required to provide organizational user information to us. Some portions of the Services may be available without a registered account. If you use those portions, this Agreement still applies.

Account Security

Your Zixel account is personal to you unless we expressly authorize another use model in writing. You may not sell, rent, lease, lend, share, transfer, or otherwise make your account available to any other person. You are responsible for protecting your username, password, verification credentials, devices, and any other login factors used to access the Services. If you believe your account has been compromised or used without authorization, you must notify us promptly. We may offer account recovery procedures, but those procedures are designed only to verify whether supplied information matches our records. They may not conclusively prove account ownership. You are responsible for activity that occurs through your account unless applicable law requires otherwise. Please use caution when evaluating external messages, promotional content, or other materials that may attempt to misuse your credentials or personal information. To protect account resources, we may reclaim an account that remains inactive for more than 12 consecutive months after registration or other prolonged periods of non-use, after providing notice where required.

Suspension and Deletion

We may suspend, restrict, or freeze an account or certain features if we reasonably believe that:
  1. you have violated this Agreement, service rules, or applicable law;
  2. suspension is required by a court, regulator, law-enforcement agency, or other competent authority;
  3. the account presents fraud, security, abuse, impersonation, brand-misuse, or other operational risk;
  4. we receive a supported complaint and you do not provide a timely, credible response; or
  5. similar circumstances create a material risk to us, other users, or the public.
If you are an Individual User, you may request account deletion through the account or support channels made available in the applicable service version. If you are an Authorized User, your organizational account may also be deleted, deactivated, or removed by the Customer or its administrator. Account deletion may be irreversible. We may retain or continue processing information where required by law, for security and dispute-resolution purposes, or where the Customer's lawful instructions govern organizational data.
III. Your Right to Use the Services
Subject to this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your internal business or personal use, as applicable. You may use the Services only in accordance with the documentation, plan limits, technical restrictions, and feature boundaries that apply to your account or subscription tier. We may update, improve, suspend, or discontinue part of the Services from time to time. We may also impose reasonable usage limits, security requirements, or eligibility rules. If you provide feedback, suggestions, or ideas about the Services, you grant us a royalty-free right to use that feedback to operate, improve, and develop our products and services without any obligation to you.
IV. Acceptable Use
You must use the Services lawfully, responsibly, and in a manner that does not interfere with other users, the Services, or any third party. You must not, and must not help others to:
  1. upload, publish, transmit, or store content that is unlawful, infringing, defamatory, fraudulent, abusive, discriminatory, or otherwise harmful;
  2. impersonate any person or organization, misrepresent your affiliation, or use another person's identity or credentials without authorization;
  3. reverse engineer, decompile, disassemble, attempt to discover source code, or bypass technical protections or usage controls, except where applicable law expressly permits it;
  4. scrape, crawl, benchmark, mirror, or systematically extract data from the Services without our written permission;
  5. introduce malware, harmful code, denial-of-service activity, or any other mechanism that could damage, disable, overload, or impair the Services;
  6. misuse our name, trademarks, domain names, or brand assets in a way that suggests endorsement or affiliation without permission; or
  7. use the Services in any way that violates export controls, sanctions, privacy laws, or other applicable laws and regulations.
We may investigate suspected violations and take action, including removing content, disabling access, preserving evidence, notifying affected parties, or reporting matters to competent authorities when legally required or appropriate.
V. Third-Party Products and Services
The Services may interoperate with, contain links to, or make available products, content, or services provided by third parties. Those third-party offerings are governed by the third party's own terms, privacy notices, and operating practices. We do not control and are not responsible for third-party products or services, even if they are referenced from or accessible through the Services. Your dealings with those third parties are solely between you and the relevant third party, except to the extent applicable law requires otherwise.
VI. User Content
"User Content" means files, designs, text, comments, messages, images, data, and other materials that you upload, submit, store, publish, or otherwise make available through the Services. You retain ownership of your User Content, subject to the rights you grant in this Agreement. To operate the Services, you grant Zixel and its affiliates a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, adapt, back up, display, and otherwise process your User Content as necessary to provide, secure, support, maintain, and improve the Services and to comply with law. You are responsible for ensuring that you have all rights, permissions, and legal bases needed to upload and use User Content in the Services. You must not upload or share content that infringes intellectual property, privacy, publicity, trade secret, confidentiality, or other rights of any person or organization. We may review, block, remove, or disable access to User Content where we reasonably believe it violates this Agreement, applicable law, or the rights of others, or where doing so is necessary to protect the Services or respond to a legal request. If you believe content on the Services infringes your rights or violates applicable rules, you may contact us at yi.sun@zixel3d.com with sufficient detail for us to evaluate the notice. We may request supporting information before acting on a complaint or counter-notice.
VII. Privacy and Security
Our collection and use of personal information is described in the Zixel Privacy Policy. By using the Services, you acknowledge that you have read and understood that policy. If you are an Authorized User, some privacy and data-handling decisions may be made by the Customer that provides your access. You should direct organization-specific privacy questions to that Customer or its administrator where appropriate. We use reasonable administrative, technical, and organizational measures designed to protect the Services and data we process. However, no online service can be guaranteed to be completely secure or uninterrupted at all times.
VIII. Intellectual Property
The Services, including the software, interface design, trademarks, logos, service marks, documentation, audiovisual content, and other materials made available by us (excluding User Content), are owned by Zixel, its affiliates, or its licensors and are protected by intellectual property and other laws. Except for the limited rights expressly granted in this Agreement, no rights are granted to you by implication, estoppel, or otherwise. You may not use our intellectual property except as permitted by this Agreement or with our prior written permission.
IX. Suspension, Breach, and Compensation
If you violate this Agreement, any service-specific rules, or applicable law, we may take appropriate action without prior notice where legally permitted. That action may include warnings, content removal, feature restrictions, suspension, account closure, or other remedial steps. We may preserve relevant records and cooperate with law-enforcement agencies, regulators, courts, or other competent authorities in connection with suspected unlawful conduct. If your conduct causes losses, claims, complaints, investigations, penalties, or other liabilities for us, our affiliates, partners, or other users, you agree to indemnify and hold the affected parties harmless to the extent permitted by law, including for reasonable legal and professional fees.
X. Limited Warranty
The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that:
  1. the Services will meet all of your requirements;
  2. the Services will be uninterrupted, timely, secure, or error-free;
  3. all defects will be corrected; or
  4. the Services will be compatible with third-party systems, networks, hardware, software, or data not provided by us.
We may change, suspend, or withdraw features at any time for operational, legal, security, or business reasons. The Services may also be affected by force majeure, cyber incidents, telecommunications failures, power interruptions, third-party outages, governmental actions, and other circumstances outside our reasonable control. Where you use the Services as an Authorized User, the Customer remains responsible for its own internal policies, approvals, and organizational management decisions relating to your use of the Services.
XI. Limitation of Liability
To the fullest extent permitted by law, Zixel and its affiliates will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, lost business, lost goodwill, lost opportunities, data loss, or business interruption, even if we were advised that such damages might occur. To the fullest extent permitted by law, our total aggregate liability arising out of or relating to this Agreement or the Services will not exceed the fees you paid to us for the Services during the month in which the relevant claim arose. We are also not liable for losses caused by your misuse of the Services, inaccurate account information, failure to safeguard credentials, use of third-party products or services, or disputes between you and any third party.
XII. Fees
Your mobile carrier, internet provider, or other third parties may charge data, messaging, roaming, or communication fees in connection with your use of the Services. You are solely responsible for those charges. If we offer a free trial, beta access, promotional credit, or other no-charge service, that does not waive our right to charge fees for the Services in the future. We may adjust pricing, packaging, billing terms, or charging methods from time to time and will provide notice as required by law or the applicable commercial arrangement.
XIII. Miscellaneous
This Agreement includes any policies, rules, notices, and service-specific terms that we publish for the Services. Those materials form part of this Agreement. We may update this Agreement from time to time to reflect legal, technical, operational, or product changes. The updated version will become part of this Agreement when it takes effect. If you do not agree to the revised Agreement, you must stop using the Services. Your continued use of the Services after the effective date of the revision means you accept the revised terms. This Agreement is governed by the laws of the Republic of Singapore. If any dispute arising from this Agreement cannot be resolved through good-faith consultation, you agree to submit the dispute to the competent people's court at the place where this Agreement is executed (Pudong New Area, Shanghai), unless applicable law requires otherwise. You may not assign your rights or obligations under this Agreement without our prior written consent. We may transfer our rights or obligations under this Agreement as part of a merger, restructuring, affiliate transaction, or other business reorganization, subject to applicable law. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of that provision. This Agreement may be translated into multiple languages for convenience. If there is any inconsistency between language versions, the simplified Chinese version will prevail. Headings are included for convenience only and do not affect interpretation.
